FRANCHISE LICENCE AGREEMENT (An official copy will be sent and signed)

1. Grant of Licence
The Licensor grants the Licensee a non-exclusive, non-transferable right to operate under the Pro Publishing House brand for a period of 24 months, with the first 12 months including a comprehensive support package.
2. Licence Fee
The Licensee agrees to pay the Licensor a one-time licence fee of £3,997 (Three Thousand Nine Hundred and Ninety-Seven Pounds) upon signing this Agreement. This fee covers:
- The Licence for the first 12 months.
- Comprehensive support provided by the Licensor during the first 12 months.
For the subsequent 12 months, the Licensee will pay £97 per month, covering the continuation of the Licence without active support from the Licensor.
3. Term and Renewal
The Agreement is effective for 24 months from the date of signing. The Licensee may renew the Licence upon expiry, subject to the Licensor’s discretion and applicable fees at the time of renewal.
4. Licence Conditions
4.1 The Licensee agrees to operate in accordance with the brand standards and guidelines provided by the Licensor.
4.2 The Licensee shall not sublicense or transfer the Licence without the Licensor’s prior written consent.
5. Support and Training
The Licensor will provide comprehensive support to the Licensee for the first 12 months, including regular trainings, manuals, etc.]. Support beyond the initial 12 months is available on a fee basis as agreed between the parties.
6. Termination
6.1 Either party may terminate this Agreement by giving 30 days’ written notice if the other party breaches any material term of this Agreement.
6.2 The Licensor may terminate immediately if the Licensee fails to pay fees as per the payment schedule outlined in Clause 2.
6.3 Upon termination, the Licensee shall cease all use of the Licensor’s brand and related materials.
6.4 Upon termination, no refunds will be given.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the term of this Agreement and for a period of five years after its termination.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral, relating to this matter.
